Welcome to the www.defiantsociety.com Web Site (the "Site"). Defiant Society ("Defiant Society" or "DS") provides this Site as a service to its customers. Please review the following basic rules that govern your use of our Site (the "Agreement"). Please note that your use of our Site constitutes your agreement to follow and be bound by these terms. If you do not agree to these terms, please do not use this Site.

Although you may "bookmark" a particular portion of this Site and thereby bypass this Agreement, your use of this Site still binds you to the terms. Defiant Society reserves the right to update or modify these Terms and Conditions at any time without prior notice. Your use of the Defiant Society website following any such changes constitutes your agreement to follow and be bound by the Terms and Conditions as changed. For this reason, we encourage you to review these Terms and Conditions whenever you use this web site.

Usage Restrictions

All of the content you see and hear on the Site, including, for example, all of the page headers, images, illustrations, graphics, audio clips, video clips, and text are subject to trademark, service mark, trade dress, copyright and/or other intellectual property rights or licenses held by Defiant Society, one of its affiliates or by third parties who have licensed their materials to Defiant Society. The entire content of the Site is copyrighted as a collective work under U.S. and Canadian copyright laws, and coordination, arrangement and enhancement of the content.

The content of the Site is intended solely for the personal, noncommercial use by the users of our site. You may download, print or store selected portions of the content, provided you (1) only use these materials for your own personal, noncommercial use, (2) do not copy or post the content on any network computer or broadcast the content in any media, and (3) do not modify or alter the content in any way, or delete or change any copyright or trademark notice.

No right, title or interest in any content or materials is transferred to you as a result of any such activities. Defiant Society reserves complete title and full intellectual property rights in any content you download, reproduce, print, redistribute or store from this web site.

The word phrase [Defiant Society] is pending as a federally registered trademark in Canada. Defiant Society claims full ownership of the aforementioned trademark for usage in Canada. User Comments, Feedback, Postcards and Other Submissions

All comments, feedback, postcards, suggestions, ideas, and other submissions disclosed, submitted or offered to Defiant Society on or by this Site or otherwise disclosed, submitted or offered in connection with your use of this Site (collectively, the "Comments") shall be and remain Defiant Society's property. Such disclosure, submission or offer of any Comments shall constitute an assignment to Defiant Society of all worldwide rights, titles and interests and shall not be limited in any way in its use, commercial or otherwise, of any Comments. Thus, Defiant Society will own exclusively all such rights, titles and interests and shall not be limited in any way in its use, commercial or otherwise, of any Comments. You agree that no Comments submitted by you to the Site will violate any right of any third party, including copyright, trademark, privacy or other personal or proprietary rights(s). Pricing Policy

At Defiant Society, our commitment is to offer convenience, service, and product availability online at compelling prices every day, with certain limited time offerings of merchandise at promotional prices.

Colors

We have done our best to display as accurately as possible the colors of the products shown on the Site. However, because the colors you see will depend on your monitor, we cannot guarantee that your monitor's display of any color will be accurate.

Correction of Errors and Inaccuracies

The information of the Site may contain typographical errors or inaccuracies and may not be complete or current. We therefore reserve the right to correct any errors, inaccuracies or omissions and to change and update information at any time without prior notice (including after you have submitted your order). We apologize for any inconvenience this may cause you. If you are not fully satisfied with your Defiant Society purchase you may return it with the original Defiant Society packing receipt. Typographical Errors

In the event a Defiant Society product is listed at an incorrect price due to typographical error or systems error, Defiant Society shall have the right to refuse or cancel any orders placed for the product listed at the incorrect price. Defiant Society shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, Defiant Society shall issue a credit to your credit card account in the amount of the incorrect price.

Term: Termination

These terms and conditions are applicable to you upon your accessing the site/ or completing the registration or shopping process. These terms and conditions, or any of them, may be terminated by Defiant Society without notice at any time for any reason. The provisions relating to Copyrights, Trademark, and Miscellaneous, shall survive any termination.

Notice

Defiant Society may deliver notice to you by means of electronic mail, a general notice on the site, or by written communication delivered by first class mail to your address on record in the Defiant Society account information.

Use of Site

Harassment in any manner or form on the site, including via e-mail and chat or by obscene or abusive language is strictly forbidden. Impersonation of others, including a Defiant Society or other licensed employee, host, or representative as well as other members or visitors on the site is prohibited. You may not upload to, distribute, or otherwise publish through this site any content which is libelous, defamatory, obscene, threatening, invasive of privacy or publicity rights, abusive, illegal, or otherwise objectionable which may constitute or encourage a criminal offense, violate the rights of any party or which may otherwise give rise to liability or violate any law. You may not upload commercial content on the site or use the site to solicit others to join or become members of any other commercial online service or organization.

Indemnification

You agree to indemnify, defend, and hold harmless Defiant Society, its officers, directors, employees, agents, licensors and suppliers (collectively the "Service Providers") from and against all losses, expenses, damages and costs, including reasonable attorney's fees, resulting from any violation of these terms and conditions or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the site using your Internet account.

Third Party Links

In an attempt to provide increased value to our visitors, Defiant Society may choose various third-party web sites to link to from its own site. However, even if the third party is affiliated with Defiant Society, Defiant Society has no control over these linked sites, all of which have separate privacy and data collection practices, independent of Defiant Society. Defiant Society has no responsibility or liability for these independent policies or actions and is not responsible for the privacy practices or the content of such web sites. These linked sites are only for your convenience and therefore you access them at your own risk. Nonetheless, Defiant Society seeks to protect the integrity of its web site and the links placed upon it and therefore requests any feedback on not only its site, but for sites it links to as well (including if a specific link does not work).

DS REWARDS CLUB

DS LOYALTY PROGRAM TERMS AND CONDITIONS (“TERMS”) Last Updated: 12/22/2020

PLEASE READ THESE TERMS CAREFULLY. BY REGISTERING FOR AND PARTICIPATING IN THE DS REWARDS CLUB, YOU AGREE TO BE BOUND BY THE TERMS DESCRIBED HEREIN AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT REGISTER FOR THE DS REWARDS CLUB.

1. The Program

1.1 The DS Rewards Club Program (“Program”) is a loyalty program that rewards members for the many ways they interact and engage with Defiant Society. The Program is free to join and allows our members to earn rewards for everyday activities like browsing our website at www.defiantsociety.com (the “Site”), making a purchase, and much more. Program members can redeem earned rewards online.

2. Membership Eligibility and Overview

2.1 The Program is offered at the sole discretion of Defiant Society (“Defiant Society,” “DS,” “we,” “our” or “us”). We are the promoter of the Program. The Program is available to individuals for their personal use only and is limited to one account per individual. Individuals who are age 13 years or older and who provide and maintain a valid email address are eligible to become members. No purchase is necessary. We may refuse to create an account for any reason. Employees and individuals employed by us or by our business partners or vendors are eligible for membership for personal use only but may be excluded from certain benefits of the Program in our sole but reasonable discretion, including but not limited to the ability to achieve a higher Program tier status. This Subsection 2.1 is subject to the provisions of Subsection 7.1 of this Program.

2.2 By joining the Program and becoming a Program member, you (individually and collectively, “you” or “Member”), agree that you have read, understood and agree to be bound by these Terms and by any changes or modifications we may make from time to time. (We will reflect the last date of any update at the top of the page of these Terms.) You also agree to be bound by our Privacy Policy and the terms and conditions of the Defiant Society website, all of which are incorporated herein by this reference. This Subsection 2.2 is subject to the provisions of Subsection 7.1 of this Program.

2.3 You should review these Terms and the related policies and our FAQs frequently to understand the terms and conditions that apply to the Program as they may change from time to time. These Terms do not alter in any way the terms or conditions of any other agreement you may have with us, including any agreement for the purchase of products. If you do not agree to these Terms, our Privacy Policy , and our Terms and Conditions, you should not participate in the Program. The Program is void where prohibited by law. This Subsection 2.3 is subject to the provisions of Subsection 7.1 of this Program.

3. Program Enrollment

3.1 Eligible individuals may enroll in the Program by creating a new account and providing their name, email address and creating a password.

3.2 Once you have enrolled, you will be assigned a DS Rewards Club ID that is unique to you and your DS Rewards Club account. Your DS Rewards Club ID or registered email address is required to track online store purchases.

3.3 The DS Rewards Club dashboard allows you to track your progress toward future rewards and to keep track of earned rewards and their expiration dates.

3.4 You are solely responsible for maintaining the accuracy of your account information and for updating your account information as required on the Site.

3.5 Only one Program account should be associated with a single member and a single email address. In the event of a dispute over the identity of the member enrolled in the Program, the member will be deemed to be the authorized account holder of the email address submitted at the time of enrolment, as determined by us in our sole discretion.

4. How the Program Works and Program Benefits

4.1 The Program is the way in which we reward you for the many ways you interact and engage with Defiant Society. Although shopping at Defiant Society will get you closer to earning certain exclusive rewards, no purchase is necessary to enjoy many of the benefits of your Program membership. Simply joining the Program and interacting with Defiant Society will get you deeper discounts and early access during sales, chances to win prizes and more.

4.2 You can earn rewards (“DS Rewards”) in a number of ways. We are always looking for new ways to recognize and reward our Members, so be sure to use the DS Rewards Club dashboard on the website www.defiantsociety.com under My Account to track progress towards your next reward and your tier status. All DS Rewards Club points earned do not expire.

4.2.a. All of the following actions can receive rewards points:

A. Join DS Rewards Club - limited to one (1) time per account.

B. Make a purchase - unlimited unless activity is declared fraudulent at the discretion of Defiant Society

C. Subscribe to Email - limited to one (1) time per account. If a customer has subscribed to email before becoming a member, no points will be awarded.

D. Write Product Reviews - limited to three (3) times per month per account. A member may write more than three product reviews, but only three (3) will be awarded points.

E. Purchase products from the Defiant Society product class - unlimited unless activity is declared fraudulent at the discretion of Defiant Society.

4.2.b. Purchase points will typically post within 24 hours of the time of transaction. Most other points will be awarded within a day of the time the action is complete. Write-a-review points will only be administered once a review is accepted by a third party monitoring system and posted on the Defiant Society website.

4.2.c. One benefit of the DS Rewards Club program is your ability to graduate to a higher tier in order to access more valuable benefits. All members will be placed at the Member Tier upon enrollment. Those members who earn pre-determined points in any calendar year will earn DS GOLD Tier Status. DS GOLD members receive all of the Member benefits plus surprise rewards codes and other promotional offers. All members who enroll will stay at Member Tier if no higher level is offered or achieved. We reserve the right to add or remove a member from any tier in the Program at our discretion.

4.3 You must be logged into your account on the Site to receive credit for purchases made online. Your engagement with the Program translates into DS Rewards. Rewards can vary and may include (as determined by us in our sole discretion): (a) DS clothing and accessories, (b) reward certificates with a monetary value that can be credited as part payment for purchases (as long as you spend at least $0.01 more than the amount of the reward certificate), (c) access to special offers like exclusive promotions, early access to sales and collections, and deeper discounts during sales, (d) a present on your membership anniversary and (e) DS gift cards.

4.4 Subject to the provisions of Subsection 7.1 of this Program, the Reward earned for any purchase or Program action will vary and we reserve the right to change the Rewards awarded for a Program purchase or Program action from time to time; or to delete or replace any Program purchase or Program action at any time in our sole discretion.

4.5 Progress toward your next DS Reward may take up to 48 hours to be reflected in the DS Rewards dashboard. If you believe that a Program purchase or other Program activity was not properly applied to your account, you should contact Customer Service at rewards@defiantsociety.com. Your email must specify your name and email address associated with the Program, the date of the Program activity, and the issue(s) you encountered. We will debit the account any points allotted for a purchase that has been fully returned or canceled.

4.6 Once you have earned a DS Reward, you may be notified by email that your DS Reward is available. When you are ready to complete your next purchase, apply the DS Reward code to your order on the Site. If you do not save your emailed reward notification, you can also access your DS Rewards through the My Account on the Defiant Society website.

4.7 Always check the expiration date (if applicable) on your DS Reward! If you do not use your DS Reward or benefit within the specified time frame, such reward or benefit shall expire. We are under no obligation to provide an alternative in the event you do not exercise your DS Reward or benefit. DS Rewards may not be combined.

4.8 The easiest way to check on your DS Rewards progress is to use the DS Rewards Dashboard available in the under My Account on the web. You can also track your progress and learn more about upcoming Program actions and rewards by looking for emails from us to stay up to date on when rewards have been earned or are close to expiring.

4.9 DS Rewards and benefits earned through the Program have no monetary value and are non-transferable, and are awarded at our sole discretion. You have no property rights in or to DS Rewards or Program benefits. Rewards credited to your Program account may be decreased or reversed, as applicable, if part or all of a Program purchase is returned or cancelled; if a Program action is deemed abusive of the Program, offensive, untrue, libellous or illegal or fraudulent, or if the credit is obtained through other activity that violates these Terms as determined by us in our sole but reasonable discretion. Products or services received as DS Rewards or benefits cannot be exchanged or returned for other Rewards, another product or service or for a monetary refund. The sale, barter, transfer, or assignment of any Rewards or benefits offered through the Program, other than by us, is expressly prohibited. This Subsection 4.9 is subject to the provisions of Subsection 7.1 of this Program.

4.10 The products and services available as DS Rewards are for personal use only and may not be sold or resold. We reserve the right, without notice, to cancel or reduce the quantity of any order to be filled and/or any products or services to be provided to you that we believe, in our sole but reasonable discretion, may result in the violation of our Terms, or which may violate English law. This Subsection 4.10 is subject to the provisions of Subsection 7.1 of this Program.

4.11 We are not responsible for DS Rewards or benefits lost or redeemed due to fraudulent activity by you or any third party. This Subsection 4.11 is subject to the provisions of Subsection 7.1 of this Program.

4.12 We reserve the right to change Program benefits, how you earn Rewards and how we evaluate and reward your Program purchases and/or other Program activity. We reserve the right to place limits on the number of purchases or activities that are eligible for the Program, the number or types of rewards or benefits you may receive or earn, in a given time period or for the duration of the Program, and/or any combination thereof. Changes to the Program will be set forth in these Terms and will be effective on the date the Terms are posted to the Site (with the effective date reflected at the beginning of the Terms). Continued participation in the Program following posting of updated or modified Terms constitutes your acceptance of those Terms as so updated and modified. This Subsection 4.12 is subject to the provisions of Subsection 7.1 of this Program.

5. Program Communications

5.1 By enrolling in the Program, you consent to receiving Program related emails, including Program marketing emails. We also may give you the option to opt-in to receive other marketing communications from us at the time of enrolment.

5.2 You may opt-out of receiving Program-related emails (including Program marketing emails) or Defiant Society marketing emails at any time by following the instructions provided in the email and as otherwise provided in the Privacy Policy

If you opt-out of Program-related emails, you will no longer receive emails regarding your Program status or the Program rewards or benefits that may be available to you and this information will only be available through your online account or by contacting Customer Service. If you do not want to receive any communications from Defiant Society, please request a termination of your membership and Defiant Society account and stop participating in the Program.

6. Termination and Modification

6.1 The Program and its benefits are offered at our sole discretion. Except where prohibited by law, we may, in our discretion, cancel, modify, restrict or terminate these Terms and/or the Program or any aspect or feature of the Program at any time without prior notice, even though such changes may affect the value of DS Rewards or benefits already accumulated or earned and/or the ability to redeem accumulated DS Rewards or benefits. Changes to the Program will be set forth in these Terms and will be effective on the date the Terms are posted to the Site (with the effective date reflected at the beginning of the Terms). Continued participation in the Program following posting of updated or modified Terms constitutes your acceptance of those Terms as so updated and modified. This Subsection 6.1 is subject to the provisions of Subsection 7.1 of this Program.

6.2 We reserve the right to exclude you from or to discontinue your participation in the Program and to audit your membership account at any time, in our sole but reasonable discretion. Any suspected abuse of the Program, failure to comply with any Terms, failure to make a purchase using your Program account within 24 months, illegal activity, fraud, misrepresentation or other conduct inconsistent with these Terms and/or detrimental to us or our interests, including without limitation, any suspected illegal, fraudulent or other unauthorized use of any Program Rewards, vouchers, coupons and/or certificates (all as determined by us in our sole but reasonable discretion), may result in the revocation of your membership and make you ineligible for further participation in the Program. If your membership is revoked, any DS Rewards or benefits in your account will automatically expire and your access to the Program and features will automatically terminate. If we suspect illegal activity, fraud, misrepresentation, abuse or violation of these Terms, we reserve the right to take appropriate legal action. This Subsection 6.2 is subject to the provisions of Subsection 7.1 of this Program.

7. Disclaimer of Warranties; Limitation of Liability

7.1 The laws of certain jurisdictions do not allow the exclusion or limitation of legal warranties, conditions, representations, liability or certain damages. If these laws apply to you, some or all of the exclusions or limitations may not apply.

7.2 Neither Defiant Society nor our parents, subsidiaries, affiliates, partners, or licensors make any representations, warranties or conditions of any kind whatsoever, express or implied, in connection with these terms or the Program or any of the rewards or benefits associated with the Program, except to the extent such representations, warranties and conditions are not legally excludable. This subsection 7.2 is subject to the provisions of subsection 7.1 of this program.

7.3 You agree that, to the fullest extent permitted by applicable law, neither Defiant Society nor our parents, subsidiaries, affiliates, partners, or licensors will be responsible (whether in contract, tort (including negligence) pre-contract or otherwise) for any (a) interruption of business; (b) access delays or access interruptions to the program; (c) data non-delivery, loss, theft, failed delivery, corruption, destruction or other modification; (d) loss or damages of any sort incurred as a result of dealings with or the presence of third party links on the site or use of any reward or benefit of the program; (e) computer viruses, system failures or malfunctions which may occur in connection with your use of the site, including during hyperlink to or from third party websites; (f) any inaccuracies or omissions in program content; or (g) events beyond our reasonable control. We make no representations, warranties or conditions that defects or errors will be corrected. Nothing in this provision shall exclude or limit our liability for death or personal injury resulting from our negligence or that of our servants, agents or employees. This subsection 7.3 is subject to the provisions of subsection 7.1 of this program.

7.4 Further, to the fullest extent permitted by applicable law, neither Defiant Society nor our parents, subsidiaries, affiliates, partners, or licensors will be liable for any economic losses (such as loss of revenues, profits, contracts, business or anticipated savings), loss of goodwill or reputation or any special or indirect losses of any kind related to the program and/or your participation therein, regardless of the form of action whether in contract, tort (including negligence) pre-contract or otherwise (other than fraudulent or negligent misrepresentations), even if we have been advised of the possibility of such damages and in no event shall our maximum aggregate liability exceed one hundred dollars ($100.00). This subsection 7.4 is subject to the provisions of subsection 7.1 of this program.

7.5 If you are dissatisfied with the program for any reason, termination of your membership in the program is your sole remedy. We have no other obligation, liability, or responsibility to you except as expressly required by law. This subsection 7.5 is subject to the provisions of the subsection 7.1 of this program.

8. Indemnification

To the maximum extent permitted by applicable law, and subject to Subsection 7.1 of this Program, you agree to defend, indemnify and hold us, our parents, subsidiaries, affiliates, partners, licensors, officers, directors, employees, and agents harmless for any loss, damages or costs, including reasonable attorneys’ fees, resulting from any third party claim, action, or demand resulting from your breach of the Program or its Terms or your violation of any law, rule or regulation.

9. Governing Law and Disputes

Unless the laws of your jurisdiction require that those laws apply, this Program and these Terms will be governed by and construed under the substantive laws of the State of California and you irrevocably submit to the exclusive jurisdiction of the federal and state courts of the State of California. This Section 9 is subject to the provisions of Subsection 7.1 of this Program.

10. Privacy and Data Protection

The personal information collected from you in connection with the Program, including but not limited to information regarding purchases made in connection with your Program membership, will be used and disclosed to administer your participation in the Program and otherwise in accordance with the Privacy Policy.

11. Entire Agreement; Waiver and Survival

These Terms govern our relationship with you as it relates to the Program. You confirm that, in agreeing to accept the Terms, you have not relied on any representation except as expressly set forth in these Terms and you agree that you shall have no remedy in respect of any such representation not included in these Terms. Each provision of the Terms shall be construed as separately applying and surviving even if for any reason one or other of those provisions is held to be inapplicable or unenforceable in the circumstances. No waiver by us will be construed as a waiver of any proceeding or succeeding breach of any provision in these Terms. This Section 11 is subject to the provisions of Subsection 7.1 of this Program.
